Most business owners I talk to think of compliance as something that applies to them once they get big enough to have a legal department. In reality, the gap shows up much earlier than that, and it’s often invisible until something goes wrong.
The gap almost nobody notices
According to NAVEX’s Risk and Compliance Benchmark Report, 52% of small and mid sized businesses lack what would be considered a mature risk and compliance program. Beyond that, 55% don’t have a whistleblower or internal reporting channel, and 44% lack any board or leadership oversight of compliance at all. These aren’t businesses being reckless. They’re businesses that grew faster than their systems did, which is one of the most common and most fixable problems I see.
Why this matters even if you’ve never had a problem
The businesses that get hurt by compliance gaps are rarely the ones who were careless on purpose. They’re the ones who assumed that because nothing had gone wrong yet, nothing would. Regulations change, vendor relationships bring in new risk, and the systems that worked when you had ten employees don’t automatically scale to fifty.
The same NAVEX research found that 74% of organizations lack a process to detect retaliation, and most companies aren’t deeply involved in evaluating the new risks that come with adopting AI tools. That second point matters more every year, since new technology brings new exposure that a lot of businesses haven’t thought through yet.
What good governance actually looks like at your size
You don’t need a compliance department to have a real compliance program. What you need is clarity. Someone needs to own it, even if that’s you wearing multiple hats. There needs to be a simple, documented way for concerns to get raised and addressed. And leadership needs at least a basic, regular check in on where the risk actually sits, rather than assuming it’s fine because no one has said otherwise.
This is one of those areas where a little structure goes a long way, and where an outside perspective can catch what you’re too close to the business to see on your own.
